Your seller agreement
These Seller Terms apply when you create or operate a store, list products or sell through Venroys. Your platform agreement is with Venroys OÜ, the Estonian company identified in our Terms of Service. These Seller Terms supplement the Terms of Service; for a conflict concerning seller activities, these Seller Terms apply to that extent. Mandatory law continues to apply.
The seller is the individual or legal entity identified in the seller account and the customer-facing offer. A person acting for a business must have authority to bind that business. Creating an account does not guarantee permission to sell or receive payments.
Age, capacity and eligibility
Sellers normally must be at least 18 and have legal capacity to enter these agreements. Venroys may permit sellers aged 13–17 only where applicable law, the relevant Stripe connected-account configuration and activity, and Venroys permit it. All required adult participation, consent, identity verification and account requirements must be completed first. Being 13 or older does not create a right to sell. Children under 13 cannot be sellers.
Under-18 seller activation is not currently available through Venroys onboarding. Do not misstate your age, use another person’s identity as your own, or treat an adult’s ordinary account signup as approval of a minor’s business. Contact support about eligibility; a support request is not approval.
Parents, guardians and adult representatives
Where an under-18 seller is permitted, a parent, legal guardian or other legally authorised adult representative may need to consent, provide identity and personal information, complete verification, accept applicable Stripe requirements, and accept or acknowledge Venroys seller requirements where legally necessary. That adult must assume responsibility to the extent required by applicable law and the applicable Stripe arrangements; we do not presume that every adult automatically guarantees all obligations.
The required process depends on country, legal capacity, business structure and Stripe account requirements. Venroys must first support and approve that process. Our current adult onboarding form is not a guardian-consent workflow. Stripe approval alone is not evidence that all Venroys or legal consent requirements are satisfied.
Stripe Connect and verification
Selling and payment functionality may require an eligible Stripe connected account. Venroys Payments is the platform experience; Stripe provides payment processing and relevant verification and payout services. Applicable Stripe agreements, including the Connected Account Agreement and the Stripe Services Agreement, apply to those services.
You must provide accurate and complete identity, business, ownership, tax and payout information, keep it current, complete required identity/KYC checks, provide a valid payout account and maintain Stripe eligibility. Venroys currently collects information through its onboarding form and Stripe embedded components. Stripe evaluates its verification requirements; Venroys remains responsible for its own collection, platform and legal obligations.
You authorise Venroys to submit required information to Stripe and manage the connected account within its actual permissions for verification, fees, payments, refunds, disputes and payout administration. Venroys can require further information and restrict activation or selling when verification, age, consent, fraud-prevention or legal requirements are incomplete. Neither a submitted form nor a successful redirect means payments or payouts are approved.
Your customer and the product sale
For independent seller storefronts and seller Marketplace listings, the seller identified with the offer is responsible for the product transaction with the customer. Venroys supplies the platform and facilitates the relevant order and payment processes; Stripe supplies payment services and is not the product seller. Any offer sold by Venroys itself must identify that role separately.
You must clearly identify the seller, accurately disclose whether you act as a trader or private seller where relevant, and provide required contact, price, delivery, return and legal information before purchase. Calling yourself a private seller does not remove trader obligations where the law treats your activity as a business. These terms do not exclude responsibilities that the law independently imposes on Venroys or Stripe.
Products, fulfillment and customer care
You are responsible for accurate listings and descriptions, lawful pricing, inventory, the right to sell each product, product safety, warnings and traceability, regulatory compliance and intellectual property permissions. Keep your business/trader information, required disclosures and policies accurate and accessible.
You are responsible for shipping and fulfillment, delivery promises, tracking, customer support, returns, refunds, complaints, recalls and statutory remedies. Using Printful, a warehouse, a carrier or a third-party logistics provider does not by itself transfer these responsibilities away from you. Maintain the relevant provider permissions and funding.
Respect applicable consumer withdrawal, conformity, guarantee and refund rights. State lawful exceptions accurately before purchase; not every made-to-order or print-on-demand product is legally personalised. A store policy or platform setting cannot remove mandatory customer rights. Handle customer personal data lawfully, securely and only for purposes with an appropriate legal basis.
Prohibited and restricted products
Do not list illegal, counterfeit, infringing, unsafe, fraudulent or otherwise prohibited products. Comply with applicable Stripe restricted-business rules, Venroys policies, sanctions and product-specific restrictions. Do not bypass payment controls or conceal the nature of your activity.
Venroys may request evidence, restrict or remove listings, stop distribution or restrict seller access where proportionate for safety, legal compliance or policy enforcement. You must promptly cooperate with recalls, lawful information requests and investigations.
Fees and deductions
Venroys may charge the platform, subscription, service and transaction fees disclosed in the applicable seller interface or agreement before they apply. Payment-processing, fulfillment, shipping and other separately disclosed charges may also apply. A plan benefit does not waive charges it does not expressly cover.
Storefront checkout currently creates direct charges on the seller’s connected Stripe account, with applicable Venroys application fees deducted through Stripe. Marketplace checkout currently charges the platform’s Stripe account and calculates seller amounts for later separate transfers, net of applicable fees and adjustments. The seller interface and transaction records explain the applicable amounts. We do not promise a fixed universal commission percentage.
Balances, transfers and payouts
Stripe processes funds in the relevant Stripe balances and sends eligible bank payouts. A Venroys Marketplace transfer to a connected account is not the same as a completed bank payout. Timing depends on successful payment, available funds, Stripe requirements, applicable schedules, risk controls and lawful adjustments.
Within the actual Stripe permissions and subject to applicable law, Venroys may delay or restrict seller transfers, request payout-schedule changes or prevent activation of payout functionality where verification, guardian or age eligibility, fraud-prevention, negative-balance or legal requirements are unmet. Stripe may independently restrict payments or payouts. Venroys does not represent that it operates a separate escrow or bank deposit service.
Give correct bank information and promptly report discrepancies. Amounts paid in error may be corrected with appropriate records. Restrictions must not be used to deny amounts lawfully due without a valid basis.
Refunds, disputes, chargebacks and amounts owed
You must handle lawful refund requests, supply accurate dispute evidence promptly, and cooperate with fraud investigations. A refund or dispute may reduce proceeds even after a transfer or payout. Stripe and payment networks determine processing and dispute outcomes under their rules; Venroys cannot guarantee that a dispute will be won.
For storefront direct charges, refunds and disputed amounts affect the connected account balance; application-fee refunds are processed where the applicable refund workflow provides for them. For Marketplace platform charges, Stripe debits the platform balance and Venroys reconciles seller allocations, which can include reversing prior transfers. Dispute and processing fees follow the actual account configuration and the fee terms disclosed to you.
Venroys’ current connected-account configuration assigns certain Stripe fees and payment losses to the platform. Nothing here changes Venroys’ obligations to Stripe or makes Stripe universally responsible for negative balances. As between you and Venroys, you must reimburse amounts properly attributable to your transactions, breaches or fraud, including applicable refunds, chargebacks and disclosed dispute fees, only to the extent contractually and legally recoverable.
Venroys may apply lawful set-off against amounts otherwise due, reverse transfers where supported, or request payment of amounts owed, with an accounting of the basis. There must be no duplicate recovery. This does not authorise arbitrary bank withdrawals or override mandatory rights. Corrections and dispute reversals must be reflected in the reconciliation.
Taxes and DAC7 reporting
You are responsible for taxes arising from your selling activity, including registration, invoicing, VAT and income reporting, except where Venroys or another party is legally required to calculate, collect, withhold, remit or report an amount. Stripe processing does not resolve all tax obligations.
Where applicable law requires it, including DAC7 platform reporting rules, Venroys may request, verify, retain and report seller identity, residence, tax identifiers, business and transaction information to the competent authorities. Provide accurate information and cooperate with corrections and legally required due diligence. Reporting exclusions and thresholds do not necessarily mean income is tax-free. Applicable reporting jurisdiction and obligations depend on the operator, seller and activity.
Storefronts and Marketplace access
Operating a storefront is separate from eligibility or visibility in the public Venroys Marketplace. A seller account does not guarantee admission, listing placement, search ranking, promotion, traffic, visibility or continued Marketplace distribution.
Venroys may apply eligibility, quality, compliance, trust, safety and performance criteria, subject to applicable law. The Terms of Service describe ranking factors. Applicable EU marketplace obligations, including trader traceability under the Digital Services Act where in scope, may require identity/contact information, payment details, business registration information or compliance declarations. Requirements depend on legal applicability; they are not identical for every seller.
Provide legally required information before offering products where required and allow legally mandated disclosures. We will apply applicable transparency, notice, reasons, complaint and appeal requirements, including relevant P2B protections where they apply to your relationship.
Restriction, suspension and termination
Venroys may take proportionate action for incomplete or failed verification, Stripe restrictions, inaccurate information, fraud, excessive disputes or chargebacks, illegal or unsafe products, intellectual property infringement, serious customer issues, age or guardian eligibility failures, material policy breaches or legal requirements. Action can include preventing activation, restricting listings or selling, suspending seller functionality or ending the relationship.
Where required, we provide reasons, notice and an opportunity to challenge the decision through support. Immediate action may be necessary for fraud, safety or legal obligations, subject to applicable law. You may request account closure through the available account controls or support.
Closure or suspension does not erase outstanding orders, lawful refunds, disputes, tax records or amounts owed. Cooperate in completing or lawfully cancelling outstanding transactions. Remaining amounts due are reconciled and transferred or paid through Stripe when legally and technically eligible, after valid adjustments and restrictions; they are not automatically forfeited.
Other terms, changes and contact
The Terms of Service continue to govern platform access, intellectual property, privacy, liability, applicable business indemnities, governing law and dispute resolution except as supplemented here. Mandatory consumer and other non-excludable rights remain unaffected. These terms do not create an unlimited parental guarantee.
We will communicate material changes and provide notice and termination rights where legally required. New terms are not treated as accepted merely because we changed a database record. Contact info@venroys.com for seller questions, complaints and challenges to restrictions.
